W.B.'s Bus Almanac for November 8th

Posted by W.B. on Thu Nov 8 05:17:07 2018

November 8, 1951 - The Book of Corporate Mergers, Acquisitions and Consolidations

New York City
New York City Omnibus Corporation
Madison Avenue Coach Company, Inc.
Eighth Avenue Coach Corporation

The New York State Public Service Commission approves the merger of New York City Omnibus Corporation with its two subsidiaries, Madison Avenue Coach Company, Inc. (heretofore operator of the 1 and 2 - Fourth and Madison Avenues lines) and Eighth Avenue Coach Corporation (which had operated the 10 - Eighth Avenue-Central Park West and 11 - Ninth and Amsterdam Avenues lines). The combined entity, with total assets of $28,000,000, will retain the New York City Omnibus name, with all 960 buses scattered amongst the four depots operated by the company now bearing 'NEW YORK CITY OMNIBUS CORPORATION' on their sides and the four routes in question placed under NYCO's aegis. (For accounting purposes, this unification is made effective as of November 1, to be consummated after a certificate of merger is filed with the Secretary of State.) This consolidation creates the largest urban bus company in New York State, and one of the largest in the nation.

The merger was strictly a corporate move. There was no public impact, as the NYCO-Madison Ave.-Eight Ave. companies were effectively operated as one entity and exchanged transfers.

Eleven years later it would all be different.

It was mentioned in the newspaper articles cited as part of a move to simplify the corporate structure; and that with three entities, NYCO was paying that many times as much corporate tax, as well as complicating the issue of liabilities in cases of crashes, accidents, pedestrians being run over, etc. (I am aware that all three firms, as well as "affiliated" Fifth Avenue Coach ["affiliate" was a favorite word of The New York Times], were all owned by the same outfit in those days.) As well, it was meant to improve flexibility of usage of buses from depots on more routes than had been. You may have noticed in some vintage 1930's photos that a few runs of the 17 - 79th Street Crosstown had 'MADISON AVENUE COACH COMPANY INC.' flagging on their sides, as did a few runs of 11 - Ninth and Amsterdam Avenues, though the former route then was technically NYCO and the latter Eighth Avenue Coach; no doubt even then those routes were stationed out of 100th Street (today's Tuskegee Airmen) depot, no? But it was also mentioned in the articles that there was to be no expected change in service or personnel, nor any change in the bus fare (cited then as 10 cents). So, indeed, that merger was very much strictly for inter-corporate purposes. The routes were all listed as NYCO anyway on their route maps (both 1939 and 1947 editions) as well as most of Hagstrom's bus maps (save the 1950 edition which did mention NYCO, MACCo and EACCo).

You and others frequenting this sub-board may have noticed as I put these up, there is as much importance to events like these, or to the various one-way conversions between 1948 and 1966, or the numerous other service changes documented, as there was in 'IRTRedbirdR33's' posts about conversions of old streetcar lines to buses in the 1935-36 (NY Railways/NYCO) and 1946-47 (TARS/STS) periods in Manhattan. All are very important in understanding the complicated history of surface transportation in this here city.

Route 17 79 St Crosstown was legally a Madison Avenue Coach Co. route.
The two separate corporate entities had nothing to do with crashes, accidents and pedestrians being run over.
Madison Avenue Coach Co. was the NYC Omnibus takeover of the operation of the NY & Harlem Railway, part of the NT< New Haven & Harford Railroad. The railroad was actually an extension of the railway line.
Eight Avenue Coach Co. was a NYC Omnibus takeover of the Eight Avenue Railway.
Both railways had legal commitments to operate for a period of years. Therefore the corporate identities had to be maintained until they expired. Finally upon expiration NYC Omnibus could legally fully adsorb these two corporations into the NYC Omnibus corporation. and the legal names discontinued.

Must've lasted 16 years, then, for such nomenclature commitments to have ended on this date, 67 years ago . . .
