IIRC the deals to sell the air rights and allow the development were made in the 50's. Not only pre dating Amtrak, but the Penn-Central merger also. Much as we regret it now, at the time, it was a legal, private real estate transaction that a wide range of people supported.
The railroad got a new free station, and an equity interest in MSG. It got rid of what it considered an obsolete maintenance nightmare. How we see things 50-60 years down the road is very different than how the majority saw things in that era.
